EarlyMind App ("EarlyMind", "we", "us" or "our") is a mobile application and associated website that helps parents track their child's developmental progress in accordance with the Montessori system and provides AI-assisted information in relation to developmental considerations.

These Terms and Conditions ("Terms") govern your use of the EarlyMind app ("App") and the EarlyMind website ("Website"). By downloading the App or using the Website, you agree to these Terms. If you do not agree, please do not use EarlyMind.

In these Terms, "you" and "your" refer to the individual using the App or Website. "We", "us" and "our" refer to EarlyMind Ltd. and its affiliates, officers, employees and agents.

1. About EarlyMind

EarlyMind is a parenting support tool. It is not a medical device, clinical service, or therapeutic platform. The content in the App — including AI-generated suggestions — is provided for general informational purposes only and does not constitute medical, psychological, educational, or any other form of professional advice. For any health, developmental, or clinical concerns relating to your child, please consult a qualified professional.

2. Eligibility

To use EarlyMind, you must be at least 18 years of age, or have the consent of a parent or legal guardian. By using the App, you confirm that you meet this requirement. EarlyMind is intended for use by parents and legal guardians. It is not designed for use by children.

3. Account Registration

To access the full features of the App, you must create an account using your email address and a password. You agree to:

• Provide accurate, current and complete information when creating your account.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately of any unauthorised access to your account at privacy@earlymind.app.
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if we believe these Terms have been violated, without prior notice and without liability to you.

4. Subscription and Payment

4.1 Free and Paid Plans

EarlyMind offers a free version with limited features, and one or more paid subscription plans that provide access to additional features. Details of current plans and pricing are shown in the App and on our Website.

4.2 Billing

Subscription fees are charged through your app store provider (Apple App Store or Google Play Store) under that provider's applicable terms and conditions. We do not process or store your payment details. We reserve the right to change subscription fees at any time, with prior notice to you in accordance with these Terms.

4.3 Cancellation and Refunds

Your subscription remains active until the end of your current billing period. You may cancel your subscription at any time through your app store account settings. Subscription fees are non-refundable except where required by law or the applicable app store's refund policy. There is no refund for partially used subscription periods.

5. Licence to Use the App

EarlyMind grants you a limited, personal, non-exclusive, non-transferable, revocable licence to download and use the App solely for your personal, non-commercial purposes, subject to these Terms.

You may not:

• Copy, modify, distribute, sell, or sublicense the App or any part of it.
• Reverse engineer, decompile, or attempt to extract the source code of the App.
• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Use automated tools to scrape, mine, or extract data from the App.
• Attempt to gain unauthorised access to any part of the App or its infrastructure.

6. Intellectual Property

All intellectual property rights in the App, Website, and their content (including but not limited to software, text, graphics, the Montessori tracking methodology, and AI models) are owned by or licensed to EarlyMind. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all content you upload or enter into the App, including notes, photos, and documents. By uploading content, you grant EarlyMind a limited licence to store and display that content back to you for the purposes of delivering the service.

7. Your Responsibilities and Acceptable Use

When using EarlyMind, you agree to:

• Use the App lawfully and responsibly.
• Enter only truthful, accurate information.
• Ensure that you are authorised to upload any documents or images you add to the App (including health documents and photos relating to your child).
• Not upload any content that is unlawful, defamatory, offensive, or that infringes the rights of others.
• Not attempt to disrupt, damage, or interfere with the App or its underlying infrastructure.

8. Child Data and Parental Responsibility

EarlyMind allows you to create a profile for your child and enter data about their behaviour and development. As the parent or legal guardian, you are responsible for:

• The accuracy and appropriateness of the data you enter about your child.
• Ensuring you have the right to enter and store such data.
• Keeping your account secure to prevent unauthorised access to your child's information.

Health-related documents you upload are stored securely and not accessed or analysed by us except for technical maintenance or where required by law. Please see our Privacy Policy for full details.

9. AI-Assisted Features — Important Disclaimer

EarlyMind includes AI-assisted features that may offer suggestions or information relating to child development, ADHD, dyslexia, and other topics. These features:

• Are for informational purposes only.
• Do not constitute medical, clinical, psychological, or educational advice.
• Are not a substitute for assessment or guidance from a qualified professional.
• May not be accurate, complete, or applicable to your specific situation.

You should not make healthcare or educational decisions based solely on the output of EarlyMind's AI features. Always consult a qualified professional for clinical concerns.

To generate AI-assisted recommendations, EarlyMind processes data you have entered about your child. Before this data is used, it is pseudonymised — directly identifying information (such as your name or email address) is removed or replaced with a non-identifying reference. The pseudonymised data is processed securely within our infrastructure. Identifiable data is never shared with third-party AI providers. 10. Website and Waitlist

Our Website is an informational landing page. If you submit your email address to join our waitlist, you agree to receive communications from us about the EarlyMind app launch and related updates. You may unsubscribe at any time. See our Privacy Policy for full details of how we handle waitlist data.

11. Privacy

Your use of EarlyMind is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully. By using EarlyMind, you acknowledge that you have read and understood our Privacy Policy.

12. Third-Party Services

The App may integrate with or link to third-party services (such as Apple or Google for authentication and payments). We are not responsible for the practices or content of any third parties. Your use of third-party services is subject to their own terms and conditions.

13. Availability and Changes to the App

We do not guarantee that the App will be available at all times or free from errors. We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice. We will not be liable for any unavailability or interruption.

We may update the App from time to time to improve features or fix issues. Where updates are material, we will notify you in advance where practicable.

14. Limitation of Liability

To the maximum extent permitted by applicable law, EarlyMind shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App, including but not limited to loss of data, loss of profits, or any harm arising from reliance on AI-generated content.

Our total liability to you for any claim arising out of or relating to these Terms or your use of the App shall not exceed the total amount you paid to us (via subscription fees) in the three months immediately preceding the event giving rise to the claim, or £50 (fifty pounds), whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

15. Indemnity

You agree to indemnify and hold harmless EarlyMind and its officers, employees, and agents from and against any claims, losses, damages, or expenses (including legal fees) arising from:

• Your use of the App in breach of these Terms.
• Content you upload that infringes the rights of any third party.
• Your violation of any applicable law or regulation.

16. Termination

We may suspend or terminate your account and access to the App at any time if we reasonably believe you have breached these Terms or applicable law. You may terminate your account at any time by contacting us at privacy@earlymind.app.

On termination, your licence to use the App ceases immediately. You should ensure you have exported or backed up any data you wish to retain before your account is closed. Sections 6, 9, 14, 15, 17 and 18 survive termination.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of EarlyMind shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence require otherwise.

18. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you via the App or by email at least 30 days before they take effect. Your continued use of the App after the changes take effect constitutes your acceptance of the updated Terms. If you do not wish to accept the changes, you may close your account before they come into effect.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
